Terms of Service

Welcome to Super Agent. These Terms of Service ("Terms") govern your access to and use of the Super Agent website, platform, services, and any associated applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By accessing, browsing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. Super Agent provides an AI-powered agent platform and related services. The Service is provided "as is" and "as available" without any warranties of any kind. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice or liability.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. User Accounts

If you create an account with us, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate your account at any time, for any reason, without notice or liability.

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service or any systems or networks connected to the Service
  • Use the Service to transmit any viruses, malware, or other harmful code
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to infringe upon the intellectual property rights of others
  • Use automated systems or software to extract data from the Service without our express written permission
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

6. Intellectual Property Rights

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof, are the exclusive property of Super Agent or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted no rights or licenses to use any of the foregoing except as expressly set forth in these Terms. All rights not expressly granted herein are reserved by Super Agent.

7. User Content

You retain ownership of any content you submit to the Service ("User Content"). However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing and improving the Service. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate any third-party rights.

8. Third-Party Services and Links

The Service may contain links to third-party websites or services that are not owned or controlled by Super Agent. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Super Agent shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. SUPER AGENT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SUPER AGENT MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT MADE AVAILABLE THROUGH THE SERVICE.

You acknowledge that your use of the Service is at your sole risk. Any material downloaded or otherwise obtained through the use of the Service is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUPER AGENT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not allowed, our liability shall be limited to the maximum extent permitted by law. In no event shall our total liability to you for all claims exceed the amount paid by you, if any, for accessing the Service during the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Super Agent, its directors, officers, employees, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Service.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Super Agent operates, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration in accordance with the rules of a recognized arbitration association. You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, such provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with any amendments and any additional agreements you may enter into with Super Agent in connection with the Service, shall constitute the entire agreement between you and Super Agent concerning the Service. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

The information provided through the Service is for general informational purposes only and does not constitute professional advice of any kind. You should not rely on any information provided through the Service as a substitute for professional advice. Super Agent is not responsible for any decisions you make based on information obtained through the Service.

AI-generated content is provided for informational purposes only and may contain errors, inaccuracies, or omissions. Super Agent makes no representations or warranties regarding the accuracy, completeness, or reliability of AI-generated content.
